Terms of Service

1. Who these terms are between

TopicDelta ("the Service") is operated by __LEGAL_ENTITY__ of __REGISTERED_ADDRESS__ ("we", "us"). By creating an account or using the Service you ("you") agree to these terms. If you are using the Service on behalf of an organisation, you confirm you are authorised to accept these terms for it.

2. Your licence to use the Service

We grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your own business purposes, or for the purposes of clients you provide services to, for as long as your account is in good standing.

This is a licence to USE the Service. It does not transfer ownership of any part of it to you.

3. What we own

We own the Service and everything that makes it work: the software, the research pipeline and the order in which it runs, the scoring and weighting methods, the instructions given to the language models, the interface, the wording throughout the product, and the name and branding. Nothing in these terms gives you any right in any of it.

4. What you own

You own the pages, briefs and wireframes you produce using the Service, and any content you write from them. We claim no rights over your output or over any material you supply to the Service.

You are responsible for making sure that content you publish is lawful and does not infringe anyone else's rights.

You are responsible for activity under your account and for keeping your credentials secure. Tell us promptly if you believe your account has been accessed without your permission.

Research runs consume credits. Credits are granted to your account either as a one-off allocation or on a recurring basis, have no cash value, and are not refundable or transferable except at our discretion.

7. Third-party data and services

The Service retrieves live search results and page content through third-party providers, and uses third-party language models to make certain judgements. Those providers operate independently of us. Their availability, accuracy, coverage, and pricing can change, and interruptions in their services will interrupt ours.

Search results are a snapshot of a moving target. Two runs of the same query on different days can legitimately differ.

8. No guarantee of search performance

The Service reports what pages currently ranking for a query actually do, and where your page differs from them. That is research and analysis, not a promise about outcomes.

We do not warrant that following the Service's output will improve your rankings, traffic, or revenue. Search engines change their behaviour without notice and no third party controls how they rank pages.

9. Availability and support

We aim to keep the Service available and working, but we do not guarantee uninterrupted access. We may change, suspend, or withdraw features, and we may carry out maintenance that makes the Service temporarily unavailable.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for lost profits, lost revenue, lost data, or indirect or consequential loss, and our total liability arising out of or in connection with the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

11. Ending the agreement

You may stop using the Service and close your account at any time.

We may suspend or end your access if you breach these terms, if your use puts the Service or other customers at risk, or if we stop offering the Service. Where it is reasonable to do so we will give you notice and a chance to retrieve your work.

The sections covering ownership, restrictions, liability, and governing law survive the end of this agreement.

12. Changes to these terms

We may update these terms as the Service develops. If a change materially affects your rights we will tell you before it takes effect. Continuing to use the Service after that point means you accept the updated terms.

13. Governing law

These terms are governed by the law of __JURISDICTION__, and the courts of __JURISDICTION__ have exclusive jurisdiction over any dispute arising from them.
